Romanian National Securities Commission has approved by Decision no. 240/13.03.2012  the Secondary Public Offering for the sale of a stake of 10,995,472 shares issued by CNTEE Transelectrica SA, owned by the Romanian State. The Secondary Public Offering runs between 14.03.2012 - 27.03.2012, through the Bucharest Stock Exchange.

Subscriptions by investors shall be made during the subscription period at any subscription price ranging between 14.90 and 19.20 RON/share, including the end caps of this range. The subscription price may be increased during the subscription period.

Shares are offered in two tranches: Large Investors Tranche, representing 90% of the total shares offered (for subscriptions whose value is higher than or equal to RON 500,000 ) and Small Investor Tranche (subscriptions less than  RON 500,000).

The Offer Price, at which the allocation of the shares will be made, is settle in the second working day of the closing of the offer, so that: all subscriptions made at a higher price than the Offer Price will be satisfied integrally, the remaining shares will be allocated to applications performed at a subscription price equal to the Offer Price according to pro-rata principle; subscriptions made at a lower price than the Offer Price will not receive allocations. The condition for the successful closing of the Offer is a subscription of minimum 70% of the shares offered.

Transelectrica, the strategic company for the Romanian economy is the Romanian power grid company of electricity transmission in Romania and also the National Energy System administrator. The Romanian state holds 73.69% and Fondul Proprietatea holds 13.50% of the share capital of Transelectrica. The company is listed in Tier I of the Bucharest Stock Exchange.
